TERMS OF USE

Please read these Terms of Use and Sale (this "Agreement") carefully. Your use of the RH Online Properties (defined below), or placement of an order, constitutes your acceptance of this Agreement.

This Agreement is between you and (a) Restoration Hardware, Inc. ("RH US") for users accessing or transacting from the United States, or (b) Restoration Hardware Canada, Inc. ("RH Canada") for users accessing or transacting from Canada. The applicable entity is referred to herein as "RH," "we," or "us."

This Agreement covers: (i) the websites at rh.com, rhbabyandchild.com, rhteen.com, and any other RH-owned site linking to this Agreement (the "Sites"); and (ii) the mobile applications "RH Source Books," "RH Baby & Child Source Books," "RH Teen Source Book," "RH Modern Source Book," and any other RH-owned app linking to this Agreement (the "Apps"). The Sites and Apps are collectively the "RH Online Properties."

BY USING THE RH ONLINE PROPERTIES OR PLACING AN ORDER, YOU AFFIRM THAT YOU ARE OF LEGAL AGE TO ENTER INTO THIS AGREEMENT. IF YOU ARE ACTING ON BEHALF OF AN ORGANIZATION, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND THAT ORGANIZATION.

WHERE PERMITTED BY APPLICABLE LAW, AND EXCLUDING RESIDENTS OF THE PROVINCE OF QUEBEC, SECTION 19 OF THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER.

1. Changes to This Agreement

We may change all or any portion of this Agreement, at any time and from time to time, by notifying you of such changes by any reasonable means, including by posting a revised Agreement through the RH Online Properties. Any such changes will not apply to disputes between you and us arising prior to the date on which the revised Agreement became effective. Your continued use of the RH Online Properties following any changes constitutes your acceptance of such changes. For Canadian residents, see Section 21 for additional notice rights and cancellation rights.

3. Privacy

Our collection, use, and disclosure of your personal data is governed by our Privacy Notice at rh.com/our-company/privacy-policy. The Privacy Notice describes our data practices in detail, including your rights under applicable privacy law, and how to submit privacy requests. We encourage you to read it. By using the RH Online Properties, you acknowledge that you have reviewed our Privacy Notice.

The RH Online Properties are not directed to children under the age of 13, and RH does not knowingly collect personal information from children under 13. If you are a parent or guardian and believe your child under 13 has provided personal information through the RH Online Properties, please contact us at rh.com/customer-experience/contact-us. You represent and warrant that any information you provide through the RH Online Properties is accurate and complete, and you will maintain and update it as needed.

Canada. Our data practices for Canadian users are subject to the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws. See our Privacy Notice for details.

4. Electronic Contracting; E-SIGN

By using the RH Online Properties or placing an order, you consent to entering into this Agreement electronically. For U.S. users, your electronic acceptance of this Agreement carries the same legal effect as a handwritten signature in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and applicable state electronic commerce laws. For Canadian users, your electronic acceptance has the same legal effect as a handwritten signature in accordance with applicable provincial electronic commerce legislation (including Ontario's Electronic Commerce Act and equivalent provincial statutes). You also consent to receive notices, disclosures, and other communications from RH in electronic form (including by email or posting to the RH Online Properties), to the extent permitted by applicable law.

5. Products

The RH Online Properties may display listings, descriptions, and images of goods and services, including coupons and discounts (collectively, "Products"), from RH or third parties. The availability of a third-party Product listing does not imply our endorsement of, or affiliation with, that provider.

Product availability, features, specifications, and pricing are subject to change without notice. Descriptions and measurements are approximate and for convenience only. We make reasonable efforts to accurately display Product colors, but actual colors depend on your display. You are responsible for complying with all applicable laws regarding the possession, use, and sale of any Product you purchase.

6. Transactions and Payment

We may make available the ability to purchase Products through the RH Online Properties or other channels such as telephone, mail order, or our Galleries (each, a "Transaction"). You may be required to provide a payment method, billing address, and shipping information ("Payment Information"). YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT TO USE ANY PAYMENT METHOD YOU SUBMIT.

Currency. US Site prices are in U.S. dollars (USD). Canadian Site prices are in Canadian dollars (CAD).

Taxes. Applicable taxes (including GST/HST/PST/QST for Canadian orders) will be charged at the time you are billed based on your delivery location. Taxes may apply to shipping, handling, return shipping, gift packaging, and other charges. We will charge you the amount stated at the time you place your Transaction.

Order Acceptance. Your order is not accepted, and a binding contract is not formed, until we confirm shipment. An emailed order confirmation is an acknowledgement only, not acceptance of an offer to sell. We reserve the right to verify Transactions and cancel any Transaction where we find evidence of fraud, unauthorized activity, or other violation of this Agreement.

Quantity Limits. We may, without prior notice, limit or cancel quantities purchased per person, household, or Transaction, or decline to ship to certain addresses. If we are unable to ship an item, you will be notified and charged only for items that ship.

Charges and Billing. We will not charge your payment method until your order ships, except for deposits on special orders. By submitting Payment Information, you authorize RH and its third-party payment processors to charge the stated amount plus applicable taxes and fees.

Stored Payment Information. By completing a Transaction, you consent to RH storing your Payment Information to complete that Transaction and facilitate future Transactions you authorize. You may withdraw this consent at any time through "My Account" settings. Any updates to this consent practice will be communicated as described in Section 1.

Updated Card Information. RH and its payment processors may receive updated payment card information from card issuers and networks (such as updated card numbers or expiration dates) and may use that information to process authorized charges. Contact your card issuer if you wish to opt out of providing updated card information.

Payment Methods. RH reserves the right to change the permitted methods of payment, including the credit cards and other payment options we accept, at any time. If complete payment for your Transaction is not received and verified by us, your order will not be processed. If you do not complete or improperly complete your Transaction, it may not be accepted or acknowledged.

Resale Prohibition. By making a Transaction, you represent that the Products will be used only in a lawful manner. Resale of Products without RH's prior written consent is prohibited.

Other Restrictions. RH may, without prior notice: limit available Product quantities; impose conditions on coupons or promotions; bar any user from making a Transaction; or cancel any Transaction, including those placed through the RH Online Properties, customer service, a Gallery, or an Outlet.

7. Returns and Exchanges

Return Window. If you are not completely satisfied with your purchase, you may return or exchange most items within 30 days of the delivery date (or purchase date for in-store purchases), with proof of purchase, provided items are in new, unused condition.

Proof of Purchase. A receipt or other proof of purchase is required for all returns. Upon receipt, items will be inspected; if approved, exchanges, credits, or refunds will be issued for the purchase price only.

Furniture. We inspect each furniture item before shipment. You must inspect and sign for furniture upon delivery. If you discover a defect or damage at the time of delivery, contact us at 1.800.910.9836 immediately; RH will replace the item or schedule a repair technician at no charge. Furniture refused because it does not fit through an entryway will be refunded in merchandise or store credit only. Large furniture items (e.g., sofas, dining tables, bedroom sets) cannot be returned to Gallery locations and must be returned via scheduled home pickup.

Mattresses. Unopened mattresses and foundations in vendor packaging may be returned within 30 days of delivery with proof of purchase. Mattresses and foundations cannot be returned or exchanged once vendor packaging is removed.

Non-Returnable Items. The following cannot be returned or exchanged: (a) final sale and clearance items (marked at time of sale); (b) Outlet purchases; (c) custom and made-to-order items, unless defective; and (d) personalized or monogrammed items.

Refunds. Approved refunds are issued to the original payment method within approximately 7–10 business days of our receipt and inspection of the returned item.

Shipping Charges. Shipping and delivery charges are non-refundable except for items that are damaged, defective, or shipped in error.

Return Shipping and Restocking Fees. Return shipping and restocking fees may apply. For large furniture items, RH will schedule a home pickup; standard pickup fees apply.

Price Adjustments. We offer a one-time price adjustment when an original sales receipt or proof of purchase is presented within 30 days of order delivery or in-store purchase.

Unretained Refunded Products. If you receive a refund and do not return the original Product within 10 business days, RH may hold pending and future orders and/or re-charge your stored Payment Information for that Product.

Canada — Tax Refunds. For Canadian orders, applicable taxes charged on returned items will be refunded in accordance with applicable federal and provincial law.

8. Shipping and Delivery

Furniture Delivery (White Glove). RH offers Unlimited Furniture Delivery on applicable Products for each order shipping to one address. Our white glove delivery professionals will deliver and place furniture in the room of your choice. A flat-rate delivery charge applies based on your delivery area. Your payment method will not be charged until your order ships, except for deposits on special orders.

Delivery Preparation. It is your responsibility to ensure that all furniture items will fit through doorways, stairways, hallways, and elevators into the desired location. Please consult RH's Measuring for Furniture Delivery guidelines. Please clear the space where furniture will be placed prior to delivery. Our delivery professionals are not permitted to move existing furniture or handle electrical wiring or equipment.

Acceptance and Inspection. An authorized adult (18 or older) must be present during your scheduled delivery window to accept, inspect, and sign for items. Defects or damage noted at delivery will be remedied by RH at no cost.

Lighting, Mirrors, Bath Hardware, and Similar Items. Our delivery service for these items includes bringing the package into the home but does not include unpacking, packaging removal, or assembly or installation, which require professional services. See product details for more information.

Standard Delivery. Items not eligible for Unlimited Furniture Delivery ship via a standard carrier (e.g., UPS). Most items ship as they become available; standard delivery items ship separately from furniture.

Delivery Timing. Estimated delivery times are provided at checkout and in your order confirmation. RH is not liable for delays beyond its reasonable control.

9. RH Members Program

The RH Members Program is subject to its own Terms and Conditions (available at rh.com/content/page.jsp?id=rhmembers-terms), which are incorporated into this Agreement by reference. The Members Program requires express affirmative enrollment and payment of an annual fee. You may cancel your membership in the same manner you enrolled (online through "My Account") or by contacting customer service. Membership cancellation terms are set out in the Members Program Terms and Conditions. RH Members Program benefits are not available at RH Outlets.

10. Gift Registries

We may make a gift registry service available through the RH Online Properties. Any gift registry you create must be for an event involving you or someone who has authorized you to act on their behalf. We will attempt to update your registry to reflect purchases and to keep it accessible for two (2) years after the applicable event, though this period may change at our discretion.

11. Account Registration; Security

You may need to register to use all or part of the RH Online Properties. Your username and password are for your personal use only and must be kept confidential. You are solely responsible for the accuracy of all information you provide to RH. If you do not provide or update necessary information, or RH has reasonable grounds to suspect that you have not provided or updated such information, RH may, in its sole discretion, prevent you from using any of the RH Online Properties. In the event your password or account is used without your consent, or you discover any other breach of security, you must promptly notify us. We are not responsible for your failure to comply with this section, or for any delay in shutting down your account after you have reported a breach of security to us. You are solely responsible for all activities that occur under your account.

12. User-Submitted Content

If you submit, post, or upload reviews, photos, ratings, or other content to the RH Online Properties ("User Content"), you grant RH a non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display that User Content in connection with the RH Online Properties and RH's business. You represent and warrant that you own or have the rights to submit such User Content, that it is accurate, and that its use by RH will not violate this Agreement or any third-party rights. RH does not endorse User Content and is not responsible for it.

13. Rules of Conduct

In connection with the RH Online Properties, you must not:

  • Post or transmit materials that are threatening, defamatory, obscene, fraudulent, or that infringe any intellectual property or privacy right;
  • Upload or transmit viruses, malware, spyware, or other harmful code;
  • Use the RH Online Properties for any fraudulent, tortious, or unlawful purpose;
  • Harvest or collect information about other users without their consent;
  • Interfere with or disrupt the RH Online Properties or any related infrastructure;
  • Restrict or inhibit any other person from using the RH Online Properties;
  • Reproduce, modify, sell, distribute, or otherwise exploit any portion of the RH Online Properties without RH's prior written consent;
  • Reverse engineer or decompile any portion of the RH Online Properties, except as expressly permitted by applicable law;
  • Remove any copyright, trademark, or proprietary rights notice from the RH Online Properties;
  • Frame or mirror any portion of the RH Online Properties without RH's prior written consent; or
  • Use any robot, spider, scraper, or other automated means to retrieve or index content from the RH Online Properties without RH's prior written consent (public search engines may index content, subject to robots.txt instructions in the Sites' root directories).

You are responsible for obtaining and maintaining at your own cost all hardware and telecommunications services required to use the RH Online Properties.

14. Limited License

Subject to your compliance with this Agreement, RH grants you a limited, non-exclusive, non-transferable, revocable license to: (a) view the Sites on a single device for personal, non-commercial use; and (b) install and use the Apps on a mobile device you own or control. The Apps are licensed, not sold, to end users. This license terminates immediately upon any breach of this Agreement.

15. RH's Intellectual Property

RH and its licensors own all right, title, and interest in and to the RH Online Properties, including all software, content, designs, trademarks, and other intellectual property. RH's trademarks and service marks include RH, RESTORATION HARDWARE, THE WORLD OF RH, RH MODERN, RH ESTATES, RH OUTDOOR, RH BABY & CHILD, RH TEEN, and associated logos. Nothing in this Agreement grants any right to use any RH trademark or service mark without RH's prior written consent.

RH will respond to valid notices of claimed copyright infringement and may terminate accounts of repeat infringers in accordance with applicable law.

16. Third-Party Materials and Links

The RH Online Properties may provide access to or links to content and services provided by third parties ("Third Party Materials"). We do not control, endorse, or accept responsibility for Third Party Materials, including their accuracy, legality, or safety. We may remove or disable links to Third Party Materials at any time.

YOUR USE OF THIRD PARTY MATERIALS IS AT YOUR OWN RISK AND IS SUBJECT TO ANY ADDITIONAL TERMS APPLICABLE TO THOSE MATERIALS.

17. Promotions

Any sweepstakes, contests, raffles, surveys, or similar promotions made available through the RH Online Properties may be governed by separate official rules. If those rules conflict with this Agreement, the promotion rules will govern.

18. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT WHERE PROHIBITED FOR RESIDENTS OF THE PROVINCE OF QUEBEC: (A) THE RH ONLINE PROPERTIES, PRODUCTS, AND THIRD PARTY MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY; AND (B) RH DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. PRODUCTS ARE NOT DESIGNED FOR COMMERCIAL USE (SUCH AS IN HOTELS OR RESTAURANTS), AND RH DISCLAIMS ALL LIABILITY FOR DAMAGES ARISING FROM SUCH USE TO THE FULLEST EXTENT PERMITTED BY LAW. THIS SECTION DOES NOT AFFECT EXPRESS WARRANTIES PROVIDED DIRECTLY TO YOU IN WRITING WITH RESPECT TO PRODUCTS PURCHASED THROUGH THE RH ONLINE PROPERTIES.

ALL DISCLAIMERS ARE MADE FOR THE BENEFIT OF RH AND ITS AFFILIATES AND THEIR RESPECTIVE SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS (COLLECTIVELY, "AFFILIATED ENTITIES").

While we work to maintain the accuracy and security of the RH Online Properties, we do not guarantee they are or will remain updated, complete, correct, or secure. If you become aware of any unauthorized alteration of the RH Online Properties, please contact us.

19. Governing Law; Dispute Resolution

United States (other than New Jersey). This Agreement is governed by the laws of the State of New York, without regard to conflict of law principles.

New Jersey Residents. If you are a New Jersey consumer, certain provisions of this Agreement may not apply to you or may not limit your rights to the extent unenforceable under New Jersey law, including: (a) indirect and consequential damages disclaimers in Sections 19 and 20; (b) data loss liability limitations in Section 20; (c) application of the liability cap in Section 20 to contract and tort claims; (d) the indemnification requirement in Section 23; and (e) the New York choice-of-law provision above.

Arbitration.  TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR RELATIONSHIP WITH RH — WHETHER BASED IN CONTRACT, TORT, STATUTE, FRAUD, OR ANY OTHER LEGAL THEORY — WILL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION BEFORE A NEUTRAL ARBITRATOR, NOT A JUDGE OR JURY. YOU AND RH EACH WAIVE THE RIGHT TO A JURY TRIAL. ARBITRATIONS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED.

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at adr.org. Hearings will be conducted by teleconference or videoconference unless the arbitrator determines an in-person hearing is warranted. The arbitrator's decision will be final and binding and may be confirmed and enforced in any court of competent jurisdiction. Nothing in this Agreement prevents you from raising issues with applicable federal, state, provincial/territorial, or local agencies.

Canada (non-Quebec). For Canadian residents outside Quebec, this Agreement is governed by the laws of the Province of Ontario and applicable federal laws of Canada, without regard to conflict of law principles. To the fullest extent permitted by applicable law, the mandatory arbitration provision in Section 19 applies to Canadian residents outside Quebec, with arbitration conducted pursuant to applicable provincial arbitration legislation.

Canada (Quebec). For Quebec residents, this Agreement is governed by the laws of the Province of Quebec and applicable federal laws of Canada. Residents of Quebec are not subject to the mandatory arbitration provision in Section 19 and retain the right to bring disputes before the courts of Quebec.

20. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT WHERE PROHIBITED FOR INDIVIDUALS RESIDENT IN THE PROVINCE OF QUEBEC, RH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE RH ONLINE PROPERTIES, PRODUCTS, OR THIRD PARTY MATERIALS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE MAXIMUM AGGREGATE LIABILITY OF RH FOR ALL CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT WILL BE THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO RH IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00 USD) FOR U.S. TRANSACTIONS, OR ONE HUNDRED CANADIAN DOLLARS ($100.00 CAD) FOR CANADIAN TRANSACTIONS.

ALL LIMITATIONS OF LIABILITY ARE MADE FOR THE BENEFIT OF BOTH RH AND THE AFFILIATED ENTITIES. APPLICABLE LAW IN CERTAIN STATES, PROVINCES, AND TERRITORIES MAY NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSIONS OR LIMITATIONS OF CERTAIN DAMAGES; SOLELY TO THE EXTENT THAT SUCH LAW APPLIES TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE CERTAIN ADDITIONAL RIGHTS.

21. Additional Terms for Canadian Residents

Notice of Changes. For Canadian residents, we will provide notice at least thirty (30) days prior to the effective date of any change by posting a notice on our website and/or sending a message to the email address associated with your account. Where required by law, you may refuse the amendment and cancel this Agreement without cost, penalty, or cancellation indemnity by sending us notice no later than thirty (30) days after the amendment comes into force. Unless you notify us within thirty (30) days from the time you receive notice of a change that you do not agree to the revised Agreement, you will be deemed to have agreed to it.

Warranty and Liability Disclaimers. The disclaimers and liability limitations in Sections 18 and 20 apply only to the extent permitted by applicable Canadian federal and provincial law. For Quebec residents, those provisions apply only as permitted by the Quebec Consumer Protection Act.

Provincial Consumer Rights. Nothing in this Agreement limits or excludes any rights you have under applicable provincial consumer protection legislation that cannot be lawfully waived by contract.

22. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless RH and the Affiliated Entities from and against all claims, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the RH Online Properties; (b) any User Content you submit; or (c) your violation of this Agreement.

23. Termination

This Agreement remains in effect until terminated. RH may terminate or suspend your access to any or all of the RH Online Properties at any time, with or without prior notice, including for violations of this Agreement. Upon termination, your right to use the RH Online Properties ceases immediately, and RH may deactivate your account and associated materials. Sections 3, 6 (payment obligations), 7, 11–16, 18–23, and 25–28 survive any expiration or termination of this Agreement.

24. Export Controls

You are responsible for complying with all applicable U.S. and Canadian export control laws and regulations. You represent and warrant that you are not located in, or a resident or national of, any country subject to a U.S. or Canadian government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. or Canadian government list of restricted end users.

25. Trade and Contract Customers

If RH designates you as a trade customer or contract customer, the Trade Terms & Conditions or Contract Terms & Conditions, respectively, also apply to your Transactions and will control in the event of any conflict with this Agreement.

26. Apple Platform Terms

For Apps compatible with Apple iOS: Apple Inc. is not a party to this Agreement and has no responsibility for the Apps or their content. Apple does not provide warranties for the Apps (except, if applicable, to refund the purchase price) and is not responsible for maintenance, support, third-party product liability claims, regulatory claims, or intellectual property claims related to the Apps — all of which are RH's responsibility. The license granted herein is a non-transferable license to use the Apps on Apple-branded devices you own or control, as permitted by Apple's App Store Terms of Service. Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.

27. Miscellaneous

Entire Agreement. This Agreement (including incorporated documents) is the entire agreement between you and RH regarding its subject matter and supersedes all prior agreements.

Severability. If any provision is found unlawful or unenforceable, it will be severed and the remaining provisions will remain in full effect.

No Waiver. Failure by either party to enforce any provision of this Agreement will not constitute a waiver of that or any other provision.

Assignment. You may not assign or transfer any rights or obligations under this Agreement without RH's prior written consent. RH may assign or transfer this Agreement freely.

Force Majeure. RH will not be liable for any failure to perform its obligations due to causes beyond its reasonable control.

"Including." As used in this Agreement, "including" means "including without limitation."

E-Sign / Printed Version. A printed or electronically stored version of this Agreement is admissible in legal proceedings to the same extent as original written business records.

California Transparency in Supply Chains Act (SB 657).
